1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Kuantivo Ltd ("Kuantivo," "we," "us," or "our"), a company registered in Cyprus under registration number HE 477214, with its registered office at 53 Apostolou Louka, Kolossi 4632, Limassol, Cyprus.

By accessing or using the NaviSalt Voyage Planner platform ("NaviSalt," "Platform," or "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

NaviSalt is a maritime voyage planning and decision support platform that provides:

  • Voyage route planning and optimization tools
  • Weather and sea condition forecasting integration
  • Vessel tracking and position monitoring
  • Performance analytics and voyage efficiency reporting
  • Adherence monitoring and deviation alerts
  • 24/7 Crisis Center support
  • Ship-to-shore reporting capabilities
  • E-Learning and training resources

3. User Accounts

3.1 Registration

To use NaviSalt, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Types

Access to certain features may be restricted based on your subscription plan and user role. Enterprise accounts may have additional terms as specified in separate agreements.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of maritime laws and regulations
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Transmit any malware, viruses, or other harmful code
  • Use automated systems or software to extract data from the Service without authorization
  • Share your account credentials with unauthorized parties
  • Misrepresent your identity or affiliation with any vessel or organization
  • Use the Service to transmit false or misleading navigation or safety information

5. Data and Content

5.1 Your Data

You retain ownership of all data you submit to the Platform, including vessel information, voyage data, and related content ("User Data"). By using the Service, you grant us a license to use, process, and store your User Data as necessary to provide and improve the Service.

5.2 Accuracy of Data

You are responsible for ensuring the accuracy and completeness of all User Data submitted to the Platform. Inaccurate vessel specifications, cargo information, or voyage details may affect the quality of our recommendations and services.

5.3 Third-Party Data

The Service integrates data from third-party sources including weather providers, AIS data aggregators, and maritime databases. We do not guarantee the accuracy, completeness, or timeliness of third-party data.

6. Service Limitations and Disclaimers

6.1 Decision Support Tool

NaviSalt is a decision support tool, not a replacement for professional maritime judgment.All route recommendations, weather forecasts, and operational suggestions provided by the Platform are advisory in nature. The Master of the vessel retains full responsibility for all navigational decisions and the safe operation of the vessel.

6.2 No Guarantee of Results

While we strive to provide accurate and useful information, we do not guarantee specific fuel savings, time reductions, or other performance outcomes. Actual results depend on numerous factors including vessel condition, weather conditions, cargo, and operational decisions.

6.3 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

7. Intellectual Property

The Service, including its software, algorithms, user interface, graphics, and documentation, is owned by Kuantivo and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software.

8. Fees and Payment

Access to NaviSalt requires a valid subscription. Fees are specified in your subscription agreement or order form. Unless otherwise stated:

  • Fees are payable in advance for the subscription period
  • All fees are non-refundable unless otherwise specified
  • We reserve the right to modify pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of access

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Kuantivo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total liability for any claims arising from or related to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
  • We are not liable for any decisions made based on information provided by the Service or for any maritime incidents, regardless of whether such incidents were foreseeable.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kuantivo and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate this agreement:

  • With 30 days' written notice at the end of the current subscription period
  • Immediately if the other party materially breaches these Terms and fails to cure within 14 days of notice

Upon termination, your access to the Service will cease. We may retain your data as required by law or for legitimate business purposes.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in Limassol, Cyprus, in accordance with the rules of the Cyprus Chamber of Commerce and Industry. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. General Provisions

  • Entire Agreement: These Terms, together with any subscription agreements, constitute the entire agreement between you and Kuantivo regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or successor.
